These Terms and Conditions ("Agreement") govern participation in the JoinX Circles Affiliate Program ("Circles Program") operated by JoinX Hub Ltd, with registered address at Kralja Nikole 27A4, 81000 Podgorica, Montenegro ("Company", "we", "us", or "our"). By registering for the Circles Program or using any affiliate links or keys ("Affiliate Materials"), you ("Affiliate", "you", or "your") agree to be legally bound by this Agreement.
Definitions
• Affiliate Account: Your dashboard on https://joinx.capital/circles/ for tracking referrals, commissions, and performance.
• Active Status: You maintain Active Status by making at least one purchase of $99 or more in a calendar month. Inactive Status for three consecutive months results in tier downgrade.
• Commission: Revenue share from qualifying referrals, structured across levels (L1-L5 Unilevel), FTD Bonuses, Retention Bonuses, and rank-based bonuses (e.g., Builder, Leader, Founder). Full details available in the Affiliate Account and dedicated commission plan documents.
• FTD (First Time Deposit): First purchase by a referred customer.
• Net Income: Customer payments minus coupons, discounts, refunds, and chargebacks.
• Promotion Channels: Websites, social media, email lists, or other platforms you use to promote Affiliate Materials.
• Qualifying Referral: A unique customer who registers via your affiliate link/key, completes a qualifying purchase, and remains active without fraud.
• Ranks: Builder (Payout Bonus access), Leader (extra 1% per level + Builder perks), Founder (Leadership Pool + Leader perks). Qualification paths and durations detailed in Affiliate Account.
Eligibility and Registration
Participation requires you to be at least 18 years old and reside in a permitted jurisdiction (excluding North Korea, Syria, Iraq, Iran, Russia, Cuba). You represent you are not a Company employee and have no conflicts of interest.
Upon approval of your registration form, we provide unique Affiliate Materials. We reserve the right to reject or revoke approval at our discretion, including review of Promotion Channels.
Affiliate Obligations
• Use only approved Promotion Channels and Affiliate Materials without modification.
• Comply with all laws, including financial promotion regulations; no misleading, defamatory, obscene, or illegal content.
• No paid ads (e.g., Google Ads, Meta Ads), coupon sites, bots, incentivized traffic, or fraudulent activity without written approval.
• Maintain professional Promotion Channels; notify us of changes within 72 hours.
• No auto-redirects, pop-ups, iframes, or impression-based tactics.
You act as an independent contractor; no employment relationship exists.
Commission Structure
Commissions earn from Qualifying Referrals across:
• FTD Bonus: 25% on L1 first purchases (net of coupons).
• Retention Unilevel Bonus (L1-L5): Percentages vary by level and rank (e.g., L1: 7-8%; higher ranks earn more). Uses dynamic compression—skips inactive affiliates for calculations.
• Rank Bonuses: Builder (Payout Bonus), Leader (+1% per level), Founder (Leadership Pool share from 1% of total sales).
• Trader Payout Bonus: Extra from funded trader payouts.
Detailed rates, volumes, and qualification in Affiliate Account. You must maintain Active Status for eligibility.
Fees and Adjustments
Rank purchases (e.g., Leader, Founder) priced as stated on https://joinx.capital/circles/. Refunds available before first commission settlement.
Company fees, including commissions and rank costs, may be adjusted at our discretion with advance notice via email or Affiliate Account.
Payments
Commissions calculated monthly from verified Net Income, viewable live in Affiliate Account. Adjustments for chargebacks/refunds up to 14 days post-purchase.
Payouts issued by the 15th of the second following month (e.g., January purchase paid March 15th) for balances ≥ $250 USD. No minimum for credits toward services.
You handle all taxes; we provide year-end reporting upon request. Payments net of fraud deductions.
Fraud and Termination
We investigate suspected fraud (e.g., bots, fake leads) at our discretion; confirmed fraud forfeits commissions, terminates account, and may require reimbursement.
• Termination: Mutual (1-month notice, pending commissions paid); for cause (immediate, pending commissions forfeited).
• Post-termination: Remove all Affiliate Materials within 72 hours.
Intellectual Property and Confidentiality
All Company materials (logos, links) remain our property; no use post-termination. Keep confidential data (e.g., commission details) private.
Governing Law
Montenegro law applies. Disputes first via non-binding mediation in Montenegro, then exclusive Podgorica courts.
General Provisions
• Entire Agreement: Supersedes priors; we may amend with notice (7 days to consent or termination).
• Severability: Invalid provisions don't affect others.
• No Waiver: Waivers must be written.
• Notices: Email to your Affiliate Account or support@joinx.capital.
• Survival: Key clauses (e.g., IP, confidentiality, payments) survive termination.[1]
